Company Seals in Singapore: When You Still Need One (2026 Guide)

Singapore is one of the clearest examples of a jurisdiction where the company seal has moved from legal requirement to business convention — and where the two are easy to confuse.

What the law says

Since the Companies (Amendment) Act 2017, Singapore companies are not required to have a common seal. Documents that previously needed the seal — including deeds — can instead be executed by signature: either two directors, a director and the company secretary, or a director whose signature is witnessed. The change removed one of the last hard legal uses of the seal for private companies.

The Electronic Transactions Act separately gives electronic signatures legal recognition, and Singapore was an early adopter of the UNCITRAL model rules on electronic transferable records, so even trade documents are steadily going paperless.

What practice still expects

None of that stopped the company rubber stamp from being a daily fixture. In practice you will still be asked for a round or rectangular company stamp when you:

  • open or operate a corporate bank account (many banks ask for a stamp on resolutions and forms),
  • issue invoices, quotations and delivery orders to counterparties across Southeast Asia who expect stamped documents,
  • deal with landlords, suppliers or government-facing paperwork where a stamp signals the document passed through the company, not just an individual.

The stamp has no independent legal magic — it is evidence of company involvement, not a substitute for authorized signatures. But refusing to have one creates friction that costs more than the stamp does.

What a Singapore company stamp looks like

The most common formats:

  • Round stamp: company name curved around the rim, registration (UEN) number and "SINGAPORE" along the lower arc, and a plain center or the word "OFFICIAL" — see the corporate seal template for the layout.
  • Rectangular endorsement stamp: company name, UEN, address and sometimes "For and on behalf of…" above a signature line.
